Sherrard & Roe has substantial experience representing clients in the acquisition, financing, development, management and sale of real property.  The firm represents the interests of real estate developers,  lending institutions, hospitality companies, real estate brokerage companies, healthcare companies, shopping center owner-operators, hospital and physician management companies, restaurant chains, REITS, high net worth individuals, and other domestic and foreign real estate investors. The firm's real estate development clients include local, regional and national developers.  Lawyers in our real estate area have assisted clients with major projects such as: office buildings, hotels, warehouse complexes, industrial facilities, shopping centers, condominiums, residential developments, and mixed-use facilities. Lawyers in the real estate area also regularly assist the firm's general business clients in their real estate activities. 

Commercial Lending & Finance
Sherrard & Roe regularly represents numerous state and national banks, insurance companies and other institutional lenders and private equity firms in a variety of matters, including financing transactions, regulatory matters and general commercial matters. Our lawyers represent financial institutions in structuring a variety of loans and other financing transactions, including:  multi-lender credit syndications, mezzanine loans with equity features, real estate and construction loans, syndication financings, securitized real estate loans, industrial development project financing and other tax-exempt financing, tax increment financing, letters of credit, asset-based loans, asset securitizations, and sale and leaseback transactions. We also routinely represent borrowers in the negotiation and documentation of sophisticated financing arrangements, including multi-state mortgage financings, and interim and permanent mortgage loans. In addition to acquisition and financing-related matters, we also assist many of these clients in the preparation and negotiation of property management agreements, and the construction and development of new projects.

Leasing/Landlord and Tenant Issues
We have extensive experience in all facets of commercial leasing and a significant portion of our real estate practice involves lease preparation, review and negotiation for both landlords and tenants.  We regularly represent commercial landlords in connection with lease disputes and provide the transactional and litigation services necessary to address their needs.
 
Zoning and Land Use
The firm regularly provides representation for its clients in hearings and other proceedings before boards and councils concerned with licensing, zoning, planning and land use issues. For example, we represented the largest shopping mall in Nashville before the local planning commission in connection with its most recent major expansion and renovation project. The firm also has experience in litigating a wide range of real estate conflicts, such as eminent domain matters, mechanic's lien suits, quiet title actions and various types of contract disputes.
 
Multi-State Transactions.
The firm frequently acts as special counsel in a variety of multi-state transactions involving out-of-state lenders.  In these transactions, we commonly review loan and acquisition documents for Tennessee law compliance, provide legal opinion letters, and provide general advice about doing business in Tennessee.
 
Title Insurance
Sherrard & Roe assists its clients on title insurance matters.  In addition to addressing specific title insurance issues for transactions, we serve as agents for Chicago Title Insurance Company, Lawyers Title Insurance Corporation, and Old Republic National Title Insurance Company.  Tennessee is a “filed rate” title insurance state and, as a result, we provide title insurance at the same rates as other providers.
