Sherrard & Roe’s Health Care Group has substantial experience representing a variety of providers of health care services, particularly physicians and physician groups, in structuring and assembling provider entities, acquiring and selling businesses, dealing with complex regulatory issues, advising clients in the day-to-day business of providing health care services, and defending professional liability claims brought against its clients. Representative clients include numerous physicians and physician groups, physician-owned health care providers, small and large public and privately-owned hospitals, medical malpractice insurance companies, nursing homes, ambulatory surgery centers and specialty hospitals, diagnostic imaging centers and IDTFs, national and international telemedicine companies, and various other types of health care enterprises. The following is a more detailed description of some of the areas in which we work:
Health Care Enterprises and Physician Practices. Members of the Health Care Group have substantial experience in representing a broad spectrum of health care providers, both large and small, and their related enterprises. The collective experience of the Health Care Group’s members enables the Group to provide a wide range of legal services to these providers, including assistance with: - Mergers and acquisitions of medical groups and other entities;
- Medical practice separations;
- The recruitment and employment of physicians and medical staff;
- The development, financing, and syndication of health care enterprises, including ambulatory surgery centers, diagnostic imaging facilities, lithotripters, and other medical ventures; and
- Antitrust issues, particularly as they relate to mergers, acquisitions, and the formation of independent practice associations and other physician negotiation groups.
In addition to providers, the Group represents institutional clients such as hospitals and hospital chains, nursing homes, national and international telemedicine enterprises, and medical malpractice insurance companies. This representation involves the full range of legal services required by these organizations, including services with respect to corporate governance and tax issues, mergers and acquisitions, financing, health care regulations, human resources, and other aspects of business operations in the health care area. Governmental Regulation. Members of the Health Care Group deal daily with regulations governing the delivery of health care services throughout the country, enabling us to provide guidance with respect to federal and state laws governing: - Health care fraud and abuse;
- Physician-self referral;
- False claims;
- Antitrust issues;
- HIPAA and medical privacy, and
- Other related areas.
In addition, Group members regularly deal with regulatory matters involving billing, reimbursement, and medical staff membership issues.
Litigation. Finally, the Health Care Group has an active health care litigation practice representing clients in the areas of: - Governmental investigations involving the False Claims Act, Anti-Kickback Statute, and Stark Law;
- Medical malpractice defense;
- Insurance policy coverage issues;
- Practice separations; and
- Employment law matters, including the litigation of noncompetition agreements.
