Beth Moore is a member of Sherrard & Roe practicing in its corporate practice group.  Ms. Moore’s practice is concentrated in the areas of corporate finance and securities regulation and involves a number of industry groups, including, education services, government services, health care services, business services and real estate investment trusts. 

Ms. Moore regularly represents buyers and sellers, including public and private entities, in various types of complex business transactions, including mergers and acquisitions, joint ventures and other strategic alternatives.  In her securities practice, Ms. Moore has significant experience representing both issuers and underwriters in initial public and follow-on offerings of equity securities, Rule 144A and registered and exchange offerings of debt securities, shelf take-downs, public and private tender offers, and private placements of equity and debt securities.  Ms. Moore also provides companies with general corporate counseling and advises them on a variety of legal matters, including federal and state securities law compliance, corporate governance, and investor relations.  In the private company setting, Ms. Moore represents established and emerging growth companies in equity and debt capital raising transactions, as well as general corporate matters.  

In addition, Ms. Moore has represented various venture capital firms and investment managers.  Her experience includes representation of venture capital firms in private equity and debt investments, as well as representation of investment managers in the formation of hedge funds and other investment partnerships and investment advisors and broker/dealers in a variety of registration and compliance matters.

Ms. Moore received her J.D. degree, with highest honors, from the University of Tennessee College of Law in 1988 and her undergraduate degree, with honors, from the University of Tennessee in 1985.  She is a member of the Nashville, Tennessee and American Bar Associations.  She is a founding member of the Vanderbilt Heart Advisory Council and a member of the Board of Trustees for the Oak Hill School.
