Tracy Powell is a member of Sherrard & Roe, where he practices primarily in the areas of health care and commercial transactions, securities, and general corporate law. In health care matters, he has represented providers and other entities throughout the healthcare industry on a variety of issues, including federal and state fraud and abuse matters, physician self-referral issues (including Stark law and regulatory matters), and related health care operations issues. He has experience in the negotiation of physician recruiting and employment agreements, development of physician-involved joint ventures, and advising on physician and hospital integration transactions and other physician practice matters. In industries other than health care, he is experienced in developing, negotiating, and completing corporate, securities, and other business transactions ranging from small private transactions to larger public securities offerings or transactions.

Recent representative experience and transactions include:

  • Physician practice counsel on substantial integration project involving the sale of physician practice to, and the employment of physicians by, a non-profit health system, and the regulatory and other matters inherent in such an undertaking.
  • Development and regulatory counsel for a large healthcare company assisting in development of multiple physician joint ventures, acquisitions of businesses, and syndications with physician owners.
  • Lead acquisition counsel to various buyers in manufacturing, healthcare, and other industries.
  • Development and regulatory counsel for healthcare management firms managing and owning ambulatory surgery centers; advise on compliance and operational issues.
  • Counsel to investor group purchasing and owning hospital in conjunction with physician owners.
  • Counsel to healthcare company in purchase of substantial operating subsidiary of the healthcare operations of a public company.
  • Counsel to senior level executives at public companies in connection with going private transactions, equity considerations, and reporting obligations under Sarbanes-Oxley act.
  • Representation of physicians in negotiations with recruiting arrangements, employment and ownership considerations, and other practice related matters.

Mr. Powell is a 1989 graduate of Vanderbilt University Law School, where he was a member of the Vanderbilt Law Review and Order of the Coif. Mr. Powell received a B.S. in accounting from the University of Southern Mississippi in 1986.

Mr. Powell is a member of the Nashville, Tennessee and American Bar Associations, with memberships in the business and health law sections of each. He is the Chair of the Healthcare Facilities Operations Interest Group of the American Bar Association Health Law Section. Mr. Powell has been named to Woodward/White's 2011 "The Best Lawyers in America" for Health Care law.  He has spoken at local, regional, and national conferences on healthcare, corporate and ethical issues.
