Albert Bart is a member of Sherrard & Roe practicing in merger and acquisition activity, registered equity and debt financings, private placements of securities, and joint ventures. Mr. Bart has experience representing both public and private companies, including with respect to general operational and contract matters, corporate governance, merger and acquisition activity, registered equity and debt financings and private placements, and joint ventures. For public company clients, Mr. Bart also advises on periodic reporting and other disclosure obligations, as well as on insider trading issues. Mr. Bart also represents issuers and investors in venture capital financings.
Mr. Bart served as Senior Vice President and Associate General Counsel for Ceridian Corporation from July 2008 to August 2011, where he was primarily responsible for securities, financing and commercial transaction matters, as well as corporate governance and compensation and benefit matters. Mr. Bart was previously a member of Sherrard & Roe from 2005 until joining Ceridian in 2008.
Selected Experience
- In addition to serving as associate general counsel to Ceridian Corporation, a multinational corporation having nearly 8,000 employees, serving as sole or primary corporate legal counsel to entity clients in various financial, manufacturing, media and service related industries having individual annual revenues ranging from less than $20 million to more than $200 million
- Acting as lead acquisition counsel to a series of buyers in the e-commerce, healthcare, media, human resources outsourcing and electronic payment industries
- Advising various strategic and financial investors/partners in the acquisition or restructuring of equity and debt positions and in the formation and implementation of various strategic ventures and business partnerships
- Representing an NYSE-listed company in its sale to private equity investors
- Assisting an NYSE-listed company in the structuring of various subsidiary operations throughout the United States
- Acting as special counsel to the board of directors of both publicly traded and privately held companies in connection with various board matters, including with respect to senior management employment and compensation issues and the boards' consideration of financing, merger and acquisition and other strategic items
- Counseling federal and state registered investment advisors in the development and implementation of comprehensive operational and regulatory policies and procedures, and assisting federally registered investment advisors in connection with SEC regulatory examinations
